Terms of the Service

These contractual terms of the Authentication and/or Grading Service constitute the Agreement governing the contractual terms of the Authentication and/or Grading Service which can be purchased by the Customer through the purchasing process contained in this Site.
The Agreement for the execution of the Authentication and/or Grading Service will be between the Customer and the company which, in the context of the purchasing process, has been chosen as Aggregator, although the service will be provided by AiGrading.
Before signing this Agreement, the Customer is invited to carefully view and read the Pre-contractual information document which summarizes the information and general conditions relating to this Agreement. Customers by clicking on the order payment button and, therefore, concluding the Agreement for the purchase of the Authentication and/or Grading Service, declare and guarantee that they are of legal age and, in any case, have the full capacity to sign this contract.

1) DEFINITIONS

The terms indicated in this article, where reported with a capital letter, will have the following meaning, with the clarification that the terms defined in the singular also refer to the plural and vice versa.

  • "AiGrading Point": non-exclusive AiGrading licensed distributor the Customer can optionally purchase the Authentication and/or Grading Service from.
  • "Aggregator": the subject with which the Customer concludes this Agreement for the execution of the Authentication and/or Grading Service.
  • “Agreement”: these terms of use of the Authentication and/or Grading Service, which constitute the contract between the Aggregator and the Customer and which relates to the Authentication and/or Grading Service.
  • "AiGrading": the company that performs the Authentication and/or Grading Service.
  • "App": the AiGrading mobile app, which can be downloaded from Google Play or the Apple Store.
  • "Authentication Service": the service consisting in verifying the authenticity of a Collectible, i.e. that the Collectible has been really manufactured from the producer from which it appears to have been made.
  • "Automated Procedure": the automated procedure for purchasing the Authentication and/or Grading Service carried out by sending a submission list through this Site.
  • "Card": the playing cards, such as Pokemon Cards or those produced by Magic, subject to the Authentication and/or Grading Service; Cards are also named as "Collectible".
  • "Case": shockproof casing in rigid plastic inside which, after being graded, a Collectible is inserted. The terms "Hard-case" or "Shockproof hard-case" also apply and are synonyms of "Case".
  • "Collectible": any product which will be authenticated or graded such as, for example, a single Card, a sealed product, etc.
  • "Consumer Customer": Customers who accepts this Agreement and submits the order of authentication and/or grading of a Collectible for purposes NOT related to their business or professional activity, according to the definition provided by the Italian Consumer Code (Legislative Decree 206/2005).
  • "Customer": the natural person, sole proprietorship or legal entity who signs and accepts this Agreement.
  • "Digital Certificate": the digital certificate issued at the conclusion of the Authentication and/or Grading Service, which contains the same data contained in the Label, that is uniquely associated with an account created in this Site and is connected to a Wallet created on the Polygon blockchain network; the results of the Digital Certificate correspond to those of the Label.
  • "Grading Service": the service consisting both in verifying the authenticity of a Collectible, i.e. (see above Authentication Service) and in formulating a judgment on it in a scale from 1 to 10.
  • "Label": a paper label which, at the end of the Authentication and/or Grading Service, is attached to the Sleeve or Case, is equipped with an NFC chip and bears the following information: a) the condition of the Collectible; b) the grade; c) the type of error; d) the serial number; e) the brand-year-language; f) the expansion; g) the name and number of the Collectible; h) the rarity and type; i) the results of the Label corresponding to those of the Digital Certificate.
  • "Non-Consumer Customer": Customers who accept this Agreement and submit the order for authentication and/or grading of a Collectible for purposes related to their business or professional activity, according to the definition provided by the Italian Consumer Code (d .lgs. 206/2005).
  • "Pre-contractual Information": the document called "Pre-contractual Information" which summarizes the information and general terms relating to this Agreement, which is shown to Customers before they complete the purchase based on the Automated Procedure, and which can be viewed at the following link.
  • "Site": the website www.aigrading.com.
  • "Sleeve": casing in simple non-rigid, scratch-resistant plastic, inside which, after being graded, a Collectible will be inserted.
  • "Wallet": the decentralized electronic wallet that works with the double key cryptography system (public/private) and which is necessary to operate on the blockchain. When a user profile is created on the Site, a Wallet on the Polygon blockchain is automatically created which is uniquely linked to this user profile in order to associate the digital certificate with the record registered in the blockchain. This Wallet is neither accessible nor usable outside the Site.

2) CUSTOMER STATEMENTS

By signing this Agreement, the Customer confirms and guarantees that the declarations made during the compilation of the Automated Procedure, and in particular the declared value of the Collectible, are true and assumes full responsibility for them, accepting that any false declarations could invalidate this Agreement and/or expose him or her to liability towards the Aggregator and/or AiGrading.

3) OBJECT OF THE CONTRACT

The provision of the Authentication and/or Grading Service of Collectibles is the object of this Agreement.
AiGrading, at the conclusion of the Authentication and/or Grading Service, will close the Collectible in a Sleeve or in a Case on which a Label containing the essential data of the authentication and/or grading judgment is stamped; a Digital Certificate will also be generated which can be consulted in the Customer's personal account on the Site and on the App.

4) CONCLUSION OF THE CONTRACT

Clicking on the order payment button involves the payment of the price of the service and consequently the conclusion of the contract between the Customer and AiGrading for the execution of the Authentication and/or Grading Service.

5) PAYMENT OF THE PRICE

The total price of the Authentication and/or Grading Service that the Customer will have to pay to AiGrading is clearly indicated during the Automated Procedure and is given by the sum of:

  • Authentication and/or grading costs established by AiGrading for each single Collectible that the Customer chooses to grade in Sleeve.
  • Authentication and/or grading costs established by AiGrading for each single Collectible that the Customer chooses to grade in Case.
  • Optional costs of transport for collection and/or return of the Collectible to the Customer.
  • The cost of any other optional service made available to Customer by AiGrading that can be purchased thought the digital order form on Site and/or App..

6) SHIPPING AND RETURN OF THE COLLECTIBLE

The Collectibles to be authenticated and/or graded can be delivered directly by the Customer in person or by a carrier at the Aggregator's premises indicated in the Automated Procedure. The Customer remains, however, solely responsible for accidents or damages to the Collectibles that may occur during transport and until they will have been duly taken into custody by the Aggregator at its premises.
The Collectibles will be sent back to the Customer with the carrier chosen by the Customer during the Automated Procedure and returned to the address indicated by the latter within of the same Automated Procedure.

7) TIME OF EXECUTION OF THE SERVICE

The Authentication and/or Grading Service will typically be completed within a few weeks and, in any case, no later than three months after receipt of the Collectibles.

8) GRADING SERVICE

The Grading Service consists both in verifying the authenticity of the Collectible, i.e. the effective origin of the same by the manufacturer from which it appears to have been made, and in providing a value judgment on it on a scale from 1 to 10, using industry standard methodologies and criteria, it being understood and agreed that the judgment can always be negative, i.e. that the Collectible can be judged as "non -gradable".
The Collectible can be judged non-gradable for the following reasons:

  1. "poor conditions, not possible to be graded", if the collectible-physical object – in the unquestionable judgment of AiGrading - is considered worn or damaged to such an extent that the judgment is substantially equal to zero.
  2. "false", if the Collectible, at the unquestionable judgment of AiGrading, turns out to be false.

In the case of a Collectible deemed "non-gradable", the Collectible will be returned to the Customer but the price of the Grading Service will not, however, be returned as the Grading Service has been correctly carried out.
In cases of "mismatch", i.e. Collectible classified incorrectly by the Customer, AiGrading will grade the Collectible in correspondence with the exact identification and will return it to the Customer with the relative grading judgment.
AiGrading, at the end of the Grading Service, will close the Collectible in a Sleeve or in a Case on which a Label containing the essential data of the grading judgment will be stamped; a Digital Certificate will also be generated which can be consulted in the Customer's personal account on the Site.

9) AUTHENTICATION SERVICE

The main feature of the Authentication Service is to verify the authenticity of the Collectible, i.e. the fact that it has been created by the manufacturer from which it appears to have been made (for example that a Pokémon card was actually made by Pokémon). At the outcome of the Authentication Service, AiGrading will issue a judgment that determines that the Collectible is "authentic" or that it is "not authentic".
AiGrading, at the conclusion of the Authentication Service, will close the Collectible in a Sleeve or in a Case on which a Label containing the essential data of the authentication judgment will be stamped; a Digital Certificate will also be generated which can be consulted in the Customer's personal account on the Site.

10) DIGITAL CERTIFICATE OF AUTHENTICATION AND/OR GRADING

At the conclusion of the Authentication and/or Grading Service, AiGrading will generate, in addition to the Label stamped on the Sleeve or on the Case, a Digital Certificate which is uniquely associated with an account profile on the Site and is linked to a Wallet created on the network Polygon blockchain.
The Customer acknowledges and expressly accepts that the Digital Certificate cannot be sent via email nor can it be downloaded onto a PC or other local device but can only be viewed within its own reserved area of the Website.
The Digital Certificate, even if connected to an account profile on the Site, is not nominative but is uniquely associated with the Label stamped on a certain Collectible which has been authenticated or graded: in this sense, the results of a Digital Certificate correspond to those of the 'Label stamped on the relevant Collectible and the Customer who is the owner of a graded and/or authenticated Collectible must be the account holder of the Site where the relative Digital Certificate is present. Customers acknowledge and explicitly accept that, should they decide to break the Label and extract the Collectible from the Sleeve or from the Case, the Digital Certificate will be canceled and will no longer be available. Customers also acknowledges and explicitly accept that, should they decide to transfer the Collectible to third parties (by way of sale or donation), they will also have to transfer, at the same time, the Digital Certificate to this third party: for this purpose, the Site and the Apps provide for the possibility that the holder of a Digital Certificate can transfer it directly, through the Site or the App, to another account on the Site. In any case, Customers expressly acknowledge and guarantee that the transfer of a Digital Certificate must only take place in good faith and following the lawful sale of a Collectible.
It is understood that the Digital Certificate is not a certificate of ownership of the Collectible nor in any way should it be understood in this sense: correlatively the transfer of the Digital Certificate from one account to another does not produce any effect on the ownership regime of the Collectible in question nor must be used by the Customer in order to carry out, or in any case formalize in some way, the transfer of ownership of a Collectible.
Should any issue arise regarding the transfer of the Digital Certificate (for example: loss of the Collectible; non-transfer, for any reason, of the Digital Certificate following the sale of a Collectible, etc.), the Customer should open a request to the AiGrading customer support, which will take action as soon as possible to resolve the issue.
In the case of a Collectible deemed "non-gradable" or "non-authentic", no "negative" Digital Certificate will be issued and the Collectable will be returned to the Customer, it being understood and agreed, in any case, that the price of the Authentication and/or Grading Service will not be returned.

11) PACKAGE PROTECTION SERVICE DURING SHIPMENTS

Please refer to the terms of service in Italian. Shipment protection is currently only available in UE territory.

12) GUIDELINES FOR THE PREPARATION OF THE PACKAGE

13) RESPONSIBILITY FOR THE SERVICES

The Aggregator will be liable to the Non-Consumer Customer, pursuant to art. 1229 of the Italian Civil Code, only for malice or gross negligence and, by way of derogation from art. 1228 of the Civil Code, will not be responsible for the willful or negligent acts of the auxiliaries or, in any case, of any third party.
Consumers as well as Non-Consumers Customers acknowledge and expressly accept that, without prejudice to the Customers' obligation to prove the damage, any compensation due by the Aggregator for loss or, in any case, for any type of accident that could damage the Collectible will be limited, and may in no case exceed, the value of the Collectible declared during the Automated Procedure.

14) RIGHT OF WITHDRAWAL OF CONSUMER CUSTOMER

Consumer Customers pursuant to art. 52 of the Italian Consumer Code have the right to withdraw, without any obligation to specify the reasons, within fourteen days of the conclusion of this Agreement, to be identified with the date of conclusion of the Automated Procedure, using one of the following methods at their choice:
By downloading and filling out the “withdrawal form” available from the following page of the AiGrading website, or with any other statement explaining the decision to withdraw from the contract, to be sent by mail or email, using the contact details of the Aggregator indicated in the email sent after the finalization of the order. In the event of withdrawal by the Consumer Customers, the cost of returning the card will be borne by the Consumer Customer and will therefore be withheld by the Aggregator on the total already paid by the Consumer Customer, while the rest of the amount paid by the Consumer Customer will be returned together with the Collectible.

15) TREATMENT OF PERSONAL DATA

The execution of this Agreement involves the processing by the Aggregator and AiGrading, as joint-controllers, of the personal data necessary for the execution of the Agreement, which will be treated in accordance with the provisions of Regulation 2016/679, as more fully specified in the Privacy Policy which also contains the information pursuant to art. 13 of said Regulation 2016/679.

16) LANGUAGE, GOVERNING LAW AND JURISDICTION

Although this Agreement is made available in various languages, only the Italian text will be deemed authentic in case of a dispute. This Agreement is governed by, and has to be construed in accordance with, the laws of the Republic of Italy.
For Non Consumer Customers the court of Padua (Italy) shall have sole competence in relation to any dispute related to the conclusion, interpretation or execution of this Agreement. For Consumer Customers, the competent court, in case of a dispute, shall be determined according to the rules of the Italian Consumers Code and/or of the private international law of the European Union.
Pursuant to art. 14 of Regulation (EU) no. 524 of 2013, Consumer Customers have the right to use the ODR platform, created and managed by the European Union for the resolution of disputes and accessible at the following link.
